License agreement & terms of sale
Last updated: October 18, 2026
These terms are an agreement between you (the person or organization installing or buying the software, "you") and Steward IT LLC, an Arizona limited liability company ("Steward IT", "we"). They cover Steward IT Census, including the server, the Census agent, remote scanner, Action Launcher, their documentation and updates (together, the "Software"), purchases of licenses and add-ons, and use of this website. By installing, activating or buying the Software, you agree to these terms. If you're accepting for an organization, you confirm you're authorized to bind it.
1. License grant
Subject to these terms, Steward IT grants you a non-exclusive, non-transferable (except as stated in section 6), perpetual license to install and use the Software for your internal business purposes, or, if you are a managed service provider, to manage your clients' systems, within the limits of your edition and license keys:
- Free edition: up to 50 active assets, at no charge, with no time limit.
- Paid license: the number of active assets, certificate-renewal servers and help desk technicians stated in your license key(s), on the one server installation the key is issued for (identified by its Server ID).
"Active asset" means any device or record counted by the Software as active, as described in the documentation. You may install agents, remote scanners and launchers on as many of your devices as you need. You may make backup copies of the Software and its data.
2. Updates and maintenance
A paid license includes updates (new versions) released during its updates period, which is one year from purchase unless your quote or invoice says otherwise. After the updates period, the versions released during it keep working under the license forever. Newer versions run in free mode with that key until updates are renewed. Renewals are priced at $50 per year, whatever the size of the license and its add-ons, or as stated on your quote, and continue from the end of the previous period (time since it ended is included).
3. Restrictions
You may not: (a) remove, bypass or tamper with license checks, or use keys not issued to you; (b) sell, rent, sublicense or distribute the Software or license keys to third parties, except as allowed in section 6; (c) reverse engineer, decompile or disassemble the Software except to the extent applicable law expressly permits despite this limitation; (d) use the Software to scan or access networks or devices you are not authorized to manage; or (e) use the Software in violation of any law.
4. Ownership
The Software is licensed, not sold. Steward IT and its licensors keep all rights, title and interest in the Software, including all intellectual property rights. Third-party open-source components are licensed under their own licenses, which are listed with the Software. Your data is yours. Steward IT acquires no rights to the inventory or other data you collect with the Software, which stays on your systems.
5. Orders, payment and taxes
- Prices are in US dollars and are listed on our pricing page or in your written quote. The minimum purchase for a base license is 500 assets; above that, and for add-on keys, assets are sold in blocks of 50.
- License keys are delivered by email after payment is received, or under the payment terms on your invoice or purchase order.
- Customers anywhere in the world may buy. Prices are in US dollars. Your bank or card issuer may apply its own currency conversion.
- Applicable sales, use, VAT, GST or similar taxes are added where we are required to collect them. Business customers outside the US may be responsible for self-assessing local taxes (for example under reverse charge). Prices exclude any bank or transfer fees.
- When you pay online, payment details are handled by our payment processor under its own terms. Steward IT does not store full card numbers.
- Refunds are covered by our refund policy.
6. Moving and transferring a license
A license key is issued for one server installation. If you move the Software to a different server, contact us for a replacement key. The original key keeps working for 30 days after the move, and you agree to remove the Software from the old server. You may transfer a license to a successor of your business (for example after a merger or sale) by written notice to us, provided the transferor stops using it.
7. Support
We provide email support for paid licenses during the updates period, on business days, on a reasonable-efforts basis, with no guaranteed response time. Documentation is available online and in the Software.
8. Privacy and data
The Software runs on your systems and doesn't send your inventory data to Steward IT. It can download public data (vulnerability and end-of-life information, and a version-check file) from the internet, which you can turn off. When you use features that connect to third-party services you configure (for example Microsoft 365, Google Workspace, Let's Encrypt, AWS or your email provider), your use of those services is governed by their terms. See our privacy policy for the website.
9. Your responsibilities
The Software includes powerful administrative features: deployment, scripts, remote commands, uninstalls and screenshots. You're responsible for who you give access to, for the credentials you store, for keeping backups of your data and of the Software's encryption key, and for complying with laws and policies that apply to monitoring and managing devices and users in your organization.
Changes you make to computers and devices with the Software, such as compliance fixes, scripts, deployments, updates and uninstalls, are your decision and are made at your own risk. The Software describes what a change does and warns where it knows a change can stop something, but it can't know the role of every computer in your organization. Test changes on a few computers before you apply them widely, and keep backups. Steward IT is not responsible for the results of changes you choose to make.
10. Warranty disclaimer
Steward IT warrants that, for 30 days after purchase, a paid license will perform substantially as described in its documentation. Your exclusive remedy for a breach of this warranty is, at our option, correction of the problem or a refund of the license fee. Except for that warranty, and to the fullest extent permitted by law, the Software is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Vulnerability, compliance and end-of-life information depends on third-party data and may be incomplete or inaccurate. It supports, but doesn't replace, your own security judgment.
11. Limitation of liability
To the fullest extent permitted by law, Steward IT will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business interruption, arising out of or related to the Software or these terms, even if advised of the possibility. Steward IT's total liability for any claim is limited to the amount you paid for the license giving rise to the claim in the twelve (12) months before the claim. Some jurisdictions don't allow certain limitations, so they may not apply to you.
12. Termination
This license ends automatically if you materially breach these terms and don't cure the breach within 30 days after notice. On termination, you must stop using the Software and delete it. Sections 3, 4 and 9 through 14 survive termination.
13. Export and government use
You agree to comply with applicable US export control and sanctions laws. The Software is "commercial computer software" provided to US government users with only the rights in these terms.
14. Governing law and general terms
These terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Disputes will be handled in the state or federal courts located in Arizona, USA, except that either party may bring a claim in small-claims court if eligible. If you are a consumer, nothing in these terms limits rights you have under the mandatory consumer-protection laws of your country of residence, and you may also bring proceedings in the courts there. These terms, together with any quote or invoice, are the entire agreement about the Software. If a provision is unenforceable, the rest remains in effect. We may update these terms for future purchases and versions by posting a new version here. The terms in effect when you bought a license continue to apply to that license.
